Welcome to Stone. By accessing or using our website, products, or services, you agree to be bound by these Terms & Conditions. Please read them carefully. If you do not agree, you may not use our services.
2. Services
Stone provides software development, design, and related professional services. We may modify, suspend, or discontinue features at any time with reasonable notice where feasible.
3. Accounts & Security
You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use or security breach.
4. Fees & Payment
Fees, billing cadence, and payment terms are specified in applicable order forms or statements of work (SOWs). Late payments may incur interest at the maximum rate permitted by law.
5. Intellectual Property
Unless otherwise agreed in writing, Stone retains ownership of pre-existing IP, frameworks, and tools. Deliverables created for you are licensed or assigned as specified in the governing SOW or agreement.
6. Acceptable Use
You agree not to misuse the services, including by engaging in unlawful activity, infringing third-party rights, introducing malware, or attempting to access non-public areas of our systems.
7. Confidentiality
Each party agrees to protect the other party’s confidential information and to use it only as permitted by the agreement or as required by law.
8. Warranties & Disclaimers
The services are provided “as is” without warranties of any kind, express or implied. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Stone will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, or data.
10. Termination
Either party may terminate for material breach if not cured within a reasonable period after written notice. Upon termination, your right to use the services ceases immediately, except as otherwise required by law.
11. Governing Law
These terms are governed by the laws of the State of California, without regard to conflict of law rules. The exclusive venue for disputes is the state or federal courts located in California.

13. Definitions & Parties
“Company”, “we”, “our”, and “us” mean Stone Platforms Inc. and its affiliates. “You” or “Customer” means the person or entity accessing or using the Services. “Services” means our websites, products, software, documentation, and professional services. “Agreement” means these Terms and any applicable order form or statement of work (“SOW”).
14. User Content & License
You retain ownership of content you submit to the Services. You grant Stone Platforms Inc. a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your content solely to operate and improve the Services and as otherwise permitted by you in an applicable SOW. You represent you have all rights necessary to grant this license and that your content does not infringe third-party rights.
15. Feedback
If you provide suggestions or feedback, you grant Stone Platforms Inc. a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without restriction or compensation to you.
16. Third‑Party Services & Links
The Services may interoperate with third-party products or contain links to third-party sites. We do not control and are not responsible for third-party services. Your use of third-party services is subject to their terms and privacy policies. We are not liable for any damages arising from third-party services.
17. Beta Features
We may offer pre-release or beta features identified as such. Beta features are provided “as is”, may be discontinued at any time, and are for evaluation purposes only. They are excluded from any uptime or support commitments unless expressly stated otherwise.
18. Open Source Components
The Services may include open source software governed by their own licenses. To the extent of any conflict with these Terms, the open source license controls for the applicable component.
19. Support; Changes; Maintenance
We may make changes to the Services, including security updates and bug fixes, at any time. Where feasible, we schedule maintenance to minimize disruption. Any support obligations are described in the applicable SOW or order form.
20. Indemnification
You will defend, indemnify, and hold harmless Stone Platforms Inc., its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your content; (b) your breach of these Terms; or (c) your violation of law or third-party rights.
21. Limitation of Liability (Further Detail)
To the fullest extent permitted by law, Stone Platforms Inc.’s aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amounts paid by you to Stone Platforms Inc. under the applicable order during the twelve (12) months prior to the event giving rise to liability. The foregoing limitations apply even if a limited remedy fails of its essential purpose.
22. Export Controls & Sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. or other applicable trade sanctions or export controls. You agree to comply with all such laws and not to export or re-export the Services in violation thereof.
23. Anti‑Corruption
You will comply with applicable anti-bribery and anti-corruption laws, including the U.S. FCPA and UK Bribery Act, and will not offer, pay, solicit, or accept bribes or improper payments in connection with the Services.
24. Government Use
If you are a U.S. Government customer, the Services are “Commercial Items” as defined at 48 C.F.R. 2.101 and are provided with only those rights set forth in these Terms.
25. Assignment
You may not assign or transfer this Agreement without our prior written consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee agrees in writing to be bound by these Terms. We may assign without restriction.
26. Force Majeure
We are not liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, utility failures, and internet/hosting provider outages.
27. Notices
Notices to Stone Platforms Inc. must be sent to legal@stone.so and will be deemed given upon receipt. We may provide notices to you via email, in-product messages, or by posting to the Services.
28. Dispute Resolution; Arbitration; Class Action Waiver
Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You and Stone Platforms Inc. waive the right to participate in a class or representative action. Judgment on the award may be entered in any court of competent jurisdiction. You may opt out of arbitration within 30 days of first acceptance by sending written notice to legal@stone.so.
29. Severability; Entire Agreement; Waiver
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. These Terms together with any SOW constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements on the subject matter. No waiver is effective unless in writing and signed by the waiving party.
30. Changes to Terms
We may revise these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use after the effective date constitutes acceptance of the revised Terms.
